1 members’ voluntary liquidation
Finin the United Kingdom, a special resolution passed by the members of a solvent company for the winding-up of the organization. Prior to the resolution the directors of the company must make a declaration of solvency. Ликвидация компании путем принятия ее членами специального решения в условиях, когда компания является платежеспособной. До принятия решения о ликвидации директора должны сделать заявление о платежеспособности (declaration of solvency). Подобное заявление, сделанное без достаточных оснований для того, чтобы считать его соответствующим действительности, рассматривается как уголовно наказуемое. После принятия решения назначается ликвидатор (liquidator). Если в ходе ликвидации компании он сочтет, что компания не сможет выплатить по своим обязательствам, созывается собрание кредиторов и ликвидация компании рассматривается как принудительная ликвидация (Compulsory liquidation) ее членами.

добровольная ликвидация под наблюдением кредиторов
Ликвидация компании на основании особой резолюции, принятой ее членами, в связи с неплатежеспособностью. В течение 14 дней со времени принятия резолюции должно состояться собрание кредиторов (meeting of creditors), о котором кредиторов следует уведомить не позднее чем за семь дней. Уведомления должны быть также направлены в газету “London Gazette” и в две местных газеты. Кредиторы имеют право получить требуемую им информацию до собрания. Ликвидатор (liquidator) компании может быть назначен акционерами компании до того, как состоится собрание кредиторов, либо на собрании кредиторов. Если были назначены два ликвидатора, для решения вопроса можно обратиться в суд.
